Please read these Terms of Service ("Agreement", "Terms", "Terms of Service") carefully before using Webjoy (the "Service") operated by Webjoy, LLC ("us", "we", or "our"). This Agreement sets forth the legally binding terms and conditions for your use of the Service at webjoy.com.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

Definitions

“Client” refers to the individual or entity engaging our services for software development, maintenance, or related services.

“Services” include all work performed, such as app development, web panel creation, backend setup, third-party integrations (e.g., Google Maps API), hosting, and ongoing maintenance.

“Incurred Costs” include project fees, subscriptions, third-party costs, additional scope work, revisions, testing, billing corrections, or other expenses necessary to deliver the Services.

“Auto-Charging” refers to billing any payment method on file for Incurred Costs, including invoice corrections, without prior Client approval, as outlined in these Terms.

Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Description of Service

Webjoy provides website design, hosting, and related services under subscription plans. All features and deliverables are as described on our website or agreed upon during the onboarding process.

Intellectual Property

Webjoy retains ownership of all website designs, code, and related assets created for your project. These materials remain the property of Webjoy unless explicitly stated otherwise in your contract agreement.

Graphics such as logos or images provided by you or created specifically for your business are not owned by Webjoy and remain your property.

If your subscription is canceled or payments are not maintained, Webjoy reserves the right to retain all work completed, including disabling access to the website. Keeping an active subscription is required to maintain access and ownership rights to the delivered website unless otherwise agreed upon in writing.

Payment and Subscription

By subscribing to Webjoy, you agree to pay the fees associated with your selected plan. Payments are recurring, and your subscription will automatically renew unless canceled. Refunds are subject to our refund policy.

Project Scope and Additional Fees

Initial Scope: The project scope, including features, deliverables, and estimated costs, will be outlined in a written quote or email. Verbal agreements for the initial scope are binding, provided we provide written confirmation (e.g., email, invoice) within 5 days. Clients must review and respond to confirmations within 5 days to dispute terms; uncontested confirmations are deemed accepted.

Scope Changes: Changes to the project scope, including additional features (e.g., driver app added to rider app), revisions, or work required to complete the project, will incur additional fees. We will provide a written estimate where feasible, but if verbal agreement is given or work is necessary, we may bill for Incurred Costs without prior approval. Clients will be notified of charges via invoice/receipt simultaneously or within 24 hours of billing.

Hourly Rate for Unscoped Work: Work outside the agreed scope is billed at our standard rate of $85/hour unless otherwise specified. A breakdown of hours will be provided with invoices or upon request.

Verbal Agreements and Documentation

Verbal Agreements: Verbal agreements for scope, features, or pricing are binding, provided we send written confirmation (e.g., email, invoice) within 5 days. Clients must respond within 5 days to clarify terms; uncontested confirmations are deemed accepted and billable under the “Incurred Costs” clause.

Billing and Immediate Auto-Charging

Payment Obligation: Clients are responsible for immediate payment of all invoices for Services rendered and Incurred Costs, including project fees, subscriptions, third-party costs, invoice corrections, and final invoices. Invoices are due upon issuance, with no delay for Client approval.

Immediate Auto-Charging: We reserve the right to immediately auto-charge any payment method on file for Incurred Costs, including project fees, additional scope work, subscriptions, final invoices, or corrections for billing errors (e.g., incorrect pricing, discounts, or omissions). Our automated billing system ensures prompt payment to maintain project timelines and service continuity. Clients will receive an invoice and receipt detailing charges simultaneously or within 24 hours of billing.

Invoice Corrections: In the event of billing errors, such as incorrect pricing, misapplied discounts (e.g., driver app discounted from $2,800 to $1,400), or omissions, we will issue adjusted invoices and auto-charge the corrected amount without prior Client approval for completed work. Clients will be notified of corrections via invoice/receipt, with a breakdown provided upon request. All corrections are final, per the no-dispute/no-refunded policy.

Accuracy of Charges: All charges are accurate and reflect Services received. We will not bill for services not provided or costs not incurred.

Refund Policy

No Disputes or Refunds: All payments for completed Services (e.g., delivered apps live on App Store/Google Play) are final and non-disputable. No refunds will be issued under any circumstances, as Services are deemed accepted upon delivery. Clients may contact us to discuss concerns, but this does not alter the no-refunded policy.

Chargebacks Prohibited: Initiating a chargeback for accurate charges related to Services received is a violation of these Terms and considered a fraudulent claim. We reserve the right to pursue legal action to recover owed amounts, including associated fees, under Florida law.

Cancellation of Recurring Services: For recurring services (e.g., maintenance plans), Clients may cancel by providing written notice. Cancellation takes effect at the end of the current billing period, with no further charges. No refunds will be issued for the current period.

Amendments to Terms

We may update these Terms of Service periodically. Continued use of the Service after changes to the Terms constitutes acceptance of the updated Terms.
